Chapter I General
Article 1 The ZGC Global High-Level Think Tank Alliance (ZGCTA) is an exchange and cooperation mechanism initiated by Beijing Academy of Science and Technology and jointly sponsored by 18 other high-level think tanks at home and abroad.
Article 2 Taking "global wisdom drives to build the community with a shared future for mankind" as its vision, ZGC Global High-Level Think Tank Alliance (hereinafter referred to as ZGCTA) aims at "gathering global wisdom and serving innovation and development", so as to enhance the collaborative innovation competence of global think tanks, boost mutual trust among civilizations and promote the common development of human society.
Article 3 ZGCTA will organize and carry out various activities in strict accordance with the laws, regulations and relevant provisions of the People's Republic of China.
Chapter II Function Orientation
Article 4 Build a Platform of Exchange. ZGCTA will set up a platform of exchange and cooperation for high-level think tanks at home and abroad to share information, resources and achievements, optimize cooperation methods, eliminate knowledge and information barriers, and improve the innovative research of think tanks.
Article 5 Carry out Cooperative Research. Focusing on the major issues of global scientific and technological development and innovation, ZGCTA will give full play to the aggregation and linkage effect among high-level think tanks and organize forward-looking, targeted and reserve research.
Article 6 Serve Social Development. Centering on the global scientific and technological innovation and social development, ZGCTA will put forward professional, systematic and constructive policy suggestions to drive the benign interaction between think-tank research and international scientific and technological policies and provide high-level intellectual support for scientific decision-making.
Article 7 Promote People-to-People Exchanges. ZGCTA will pay attention to strengthening the coordination and sharing of ideas between domestic and foreign think tanks, heighten policy communication through think-tank cooperation, facilitate international people-to-people exchanges through think-tank exchanges, advance the common feelings of the people, and expand the academic and international influence of ZGCTA.
Chapter III Organizational Mechanism
Article 8 Organizational mechanism
I. ZGC Global High-Level Think Tank Alliance adopts an organization and coordination mechanism under the ZGCTA Board of Directors (hereinafter referred to as the Board of Directors). The Board of Directors is composed of one Director-General Unit, Vice Director-General Units and Director Units.
II. ZGCTA Director-General Unit comes into being after recommended by the ZGCTA sponsor units and through discussion at the Director-General Meeting, and its term of office is five years (renewable).
III. ZGCTA’s Vice Director-General Units should be recommended by the Director-General Unit or the Director Unit to apply on its own, after deliberated and approved by the Director-General Meeting.
IV. The generation and addition of Director Unit shall be executed via application by the global think tank units and organizations to the secretariat of the Board of Directors or recommendation by the Director-General Unit, and it shall take effect by vote of the ZGCTA Directors Meeting.
V. The Secretariat sets in the Director Unit, and Secretary-general shall be appointed by the Director-General Unit for a term of five years (renewable).
Chapter IV Scope of Responsibilities
Article 9 Scope of responsibilities
I. The Director-General Unit of ZGCTA is responsible for convening and presiding over the Director-General Meeting and the Directors Meeting, implementing and guiding the major tasks decided by the Board of Directors, and providing support and guarantee for the operation of ZGCTA.
II. Vice Director-General Units of ZGCTA are responsible for participating in ZGCTA's development planning, applying for and initiating alliance cooperation projects.
III. The Director Units should participate in ZGCTA Directors Meeting and ZGCTA cooperation projects.
IV. The Secretariat is responsible for the daily work of ZGCTA. Its specific responsibilities include:
(I) Be responsible for the daily operation of ZGCTA.
(II) Prepare for the ZGCTA Directors Meeting and Director-General Meeting.
(III) Draft annual work reports of ZGCTA.
(IV) Accept and examine the applications of the Director Units of ZGCTA.
(V) Implement the resolutions of the Board of Directors.
(VI) Be responsible of other matters entrusted by the Board of Directors.
Chapter V Rights and Obligations
Article 10 Rights of Director Units
I. Recommend influential think tanks and organizations to the Secretariat as candidate Director Units of the Board of Directors.
II. Participate in the activities of the Board of Directors, and put forward opinions and suggestions on the work of the Board of Directors.
III. The Director Unit has the right to become a Vice Director-General Unit Candidate. For the Director Units that have made outstanding contributions to ZGCTA, the Director Units can become Vice Director-General Units by handing over applications or be recommended by other Vice Director-General Units, which shall take effect after being reviewed and approved by the Director-General Meeting and shall be published.
IV. Other rights conforming to the Charter.
Article 11 Obligations of Director Units
I. Abide by the Charter and execute the personnel resolutions of the Board of Directors.
II. Safeguard the legitimate rights and interests of the Board of Directors. The Board of Directors' internal activities and unpublished research results shall not be disseminated to the public without the permission of the Secretariat of the Board of Directors.
III. Assist in the completion of the relevant work of the Board of Directors.
Chapter VI Operating Mechanism
Article 12 Operating mechanism
I. The Director Meeting is held in accordance with annually. The Director Meeting shall be attended by more than two-thirds of Director Units (including entrusted attendance), and the resolution matters shall be approved by more than two-thirds of the representatives present at the meeting.
The functions and powers of the Director Meeting include:
(I) Deliberate and vote the list of candidate Directors.
(II) Listen to the annual work summary and annual work plan of ZGCTA, and raise comments and suggestions.
II. The Director-General Meeting shall be held in accordance with the needs of the work from time to time, to study, communicate and coordinate major issues related to the development of ZGCTA, and to put forward guidance and suggestions. The Director-General Meeting shall be attended by more than two-thirds of the Vice Director-General Units (including entrusted attendance), and the resolution matters shall be approved by more than two-thirds of the representatives present at the meeting.
The functions and powers of the Director-General Meeting include:
(I) Formulate and amend the Charter of ZGCTA, discuss and decide on major issues of ZGCTA.
(II) Review the annual work summary of ZGCTA, review and approve the annual work plan of ZGCTA, etc.
Article 13 Funds and intellectual property rights
I. Funds: ZGCTA does not charge membership fees for Director Units.
II. Intellectual property rights: the intellectual property rights and other research results are obtained from the scientific and technological activities that organized by ZGCTA, which shall be borne with the Chinese “中关村全球高端智库联盟” or the English “ZGC Global High-Level Think Tank Alliance”.
Chapter VII Admission and Withdrawal
Article 14 Admission
I. Qualifications: the Director Units should be think tanks and organizations at home and abroad that are influential, dedicated to providing intellectual support for scientific governance and scientific decision-making, and have a certain scale of full-time researchers.
II. Admission procedures:
(I) Submit application materials for admission to the Secretariat of the Board of Directors.
(II) Be approved in the Directors Meeting after voting.
(III) Get certificates issued by ZGCTA.
Article 15 Withdrawal
I. If the Director Unit intends to voluntarily withdraw, it shall inform the Secretariat in writing.
II. If the Director Unit does not participate in the activities of the Board of Directors for three consecutive years, it will be deemed as an automatic withdrawal.
III. If there is a serious violation of the Charter or violation of the laws and regulations of the State by the Director Unit, such Director Unit will be directly removed from the ZGCTA Board of Directors under notification for general information.
IV. After the withdrawal of the Director Unit, the qualification of the Director Unit will be cancelled.
Chapter VIII Supplementary Provisions
Article 16 The Charter shall come into force after being voted in the Director-General Meeting.
Article 17 The amendment to the Charter shall be reviewed and approved by the Director-General Meeting.
Article 18 The Secretariat of the Board of Directors shall be responsible for the interpretation of the Charter.
